Terms of service

DRAFT: pending legal review. Last updated: 2026-09-30.

These terms govern your use of Dhanlaxmi, provided by [Legal entity name, to be filled], [Registered address, to be filled] ("we"). They are an electronic record under the Information Technology Act, 2000 and need no signature.

1. The service

Dhanlaxmi is billing, inventory and accounting software. By creating an account or using the app you agree to these terms and the privacy policy. You must be at least 18 and able to enter a contract, or act for a business that is.

2. Your account

Keep your sign-in secure. You are responsible for activity under your account and for the users you invite. Give us accurate information and keep it current. Tell us promptly if you suspect unauthorised access.

3. Your data

You own your business data. You grant us the right to process it only to provide the service, for support you ask for, and as the law requires. You can export all of it at any time, on any plan, free. You are responsible for the accuracy of what you enter, including tax details and your customers' data, and for having the right to enter it. For your customers' personal data, you are the Data Fiduciary and we are your Data Processor (see the privacy policy).

4. Plans, payment and taxes

Plans and prices are shown on the pricing page. Payment is a one-time purchase for the period you choose, processed by Razorpay, and does not renew automatically. Prices are in Indian rupees and GST is added where applicable, with a GST invoice provided. Statutory features (GST returns, e-invoice, e-way bill, audit trail) and data export are not limited by plan. When a plan ends, the account moves to the Free plan; your existing data is not deleted. Refunds and cancellation: see the refund policy.

5. Acceptable use

Do not break the law, attempt to break or overload the service, probe it for weaknesses without our permission, resell it without permission, upload malware or content you have no right to, or use it to issue fake invoices or claim wrongful input tax credit. We may remove content or suspend access where needed to comply with law or an order, or to protect the service.

6. Statutory compliance

The software helps you prepare GST documents and returns. You remain responsible for your filings and for checking them, or having your accountant check them. E-invoice and e-way bill features may run in sandbox until live integration is announced. The service is not tax, legal or accounting advice.

7. Availability and support

We work to keep the service running and the app usable offline, but we do not promise uninterrupted service. Support is by the channels on the support page.

8. Our intellectual property

We own the software, the Dhanlaxmi name and logo, and the design of the app. You get a limited, non-exclusive, non-transferable right to use them while you have an account. You may not copy the software, reverse engineer it except where the law allows, or use our name or logo without permission. Your data stays yours.

9. Ending

You may delete your account at any time in the app, or on the account deletion page, following the process in the privacy policy. We may suspend or end accounts that breach these terms, after notice where reasonable. Sections that by nature should survive (data retention required by law, liability, governing law) survive.

10. Liability

To the extent the law allows, the service is provided as is, our liability is limited to the amount you paid us in the 12 months before the claim, and we are not liable for indirect or consequential loss, or loss from your filing decisions. Nothing limits liability that cannot be limited by law. [Wording to be settled by counsel.]

11. Governing law and disputes

Indian law applies. Courts at [city, to be confirmed] have jurisdiction, subject to any mandatory consumer rights. Please contact us first so we can try to resolve the matter.

12. Changes and contact

We may update these terms with notice in the app; continued use after the effective date means you accept them. Contact: [email protected]. Grievance Officer: [Grievance Officer name, to be filled], [email protected]. We acknowledge grievances within 24 hours and resolve them within 15 days.
